Aux termes d’un acte sous seings privés signé par voie électronique en date du 27 novembre 2019, les sociétés ci-dessus désignées ont établi un projet d’apport par la société MOULAGES INDUSTRIELS DU HAUT BUGEY à la société SVARA, de la partie de ses éléments d’actif constituant sa branche d’activité dénommée « DRAGONSKAL » de conception, production et commercialisation de produits de résistance au feu à 5.445.045 Euros et du passif s’y rapportant.

La prime d’apport, calculée sur la différence entre l’actif net apporté et la valeur nominale de l’augmentation de capital s’élèvera à 1.765.558,10 Euros.

Il a été convenu que les effets de l’apport remonteraient au 1er octobre 2019 et que la société SVARA serait tenue de reprendre toutes les opérations actives et passives faites par la société MOULAGES INDUSTRIELS DU HAUT BUGEY dans le cadre de l’exploitation, depuis cette date, de la branche d’activité apportée.

En vue de rémunérer l’apport fait à la société SVARA, celle-ci procédera à une augmentation de son capital de 9.413,90 Euros, par l’émission de 94.139 actions nouvelles de 0,10 Euros nominal chacune, entièrement libérées, qui seront attribuées à la société MOULAGES INDUSTRIELS DU HAUT BUGEY.

Le projet d’apport partiel a été établi sous la condition notamment de son approbation par les assemblées générales des associés de chacune des sociétés ci-dessus visées.

Les créanciers de la société MOULAGES INDUSTRIELS DU HAUT BUGEY, apporteuse, dont la créance est antérieure à la présente publication pourront former opposition dans le délai de trente jours du présent avis.

Deux exemplaires du projet d’apport partiel ont été déposés :

– Au Greffe du Tribunal de Commerce de BOURG-EN-BRESSE en date du 27 novembre 2019 pour la société MOULAGES INDUSTRIELS DU HAUT BUGEY,
– Au Greffe du Tribunal de Commerce de LYON en date du 27 novembre 2019 pour la société SVARA.
